1. Acceptance of Terms

By accessing or using Haila, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the app.

2. Use of the Service

Haila is a platform that connects diners with hospitality venues. You agree to use the service only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the service.

3. User Accounts

  • You are responsible for maintaining the security of your account
  • You must provide accurate and complete information when registering
  • You may not use another person's account without permission
  • We reserve the right to suspend or terminate accounts that violate these terms

4. Venue Listings and Bookings

Venue owners are responsible for the accuracy of their listings, including availability and special offers. Haila acts as a facilitator and is not a party to any agreement between a diner and a venue. We are not liable for any disputes arising from bookings made through the platform.

5. User Content

By posting content (reviews, posts, ratings) on Haila, you grant us a non-exclusive, royalty-free license to use, display, and distribute that content within the app. You are responsible for ensuring your content does not violate any laws or third-party rights.

6. Ratings and Reviews

Ratings must be honest and based on genuine experiences. We reserve the right to remove ratings that are fraudulent, abusive, or otherwise violate our community standards.

7. Prohibited Conduct

  • Posting false, misleading, or defamatory content
  • Harassing or threatening other users
  • Attempting to disrupt or interfere with the service
  • Using the platform for any commercial spam or solicitation

8. Venue Verification, Hail It Forward and Fraud Prevention

8.1 Authority to Register or Claim a Venue

A person who creates, registers, claims or manages a venue on Haila represents and warrants that they:

  • are the owner of the venue or are properly authorised by the venue owner or operating entity to act on its behalf;
  • have provided accurate, complete and current information;
  • have authority to enter into transactions and receive payments on behalf of the venue; and
  • will immediately notify Haila if that authority changes or ends.

Creating or claiming a venue without proper authority is strictly prohibited.

8.2 Venue Verification

Haila may require verification of a venue, its operating entity, its owners, representatives, bank account or other information before activating some or all venue functionality.

Verification may include requesting identification, company information, proof of address, proof of ownership or authority, bank account information, website or social media verification, payment-provider verification or other information reasonably required by Haila.

Haila may refuse, suspend or revoke verification at any time where information cannot be verified or Haila reasonably suspects fraud, impersonation, unauthorised activity or other misuse of the platform.

Verification by Haila does not constitute a guarantee, endorsement or warranty regarding a venue or its operators.

8.3 Hail It Forward Payments

Hail It Forward allows users to purchase or provide value intended to be redeemed at participating hospitality venues.

A venue has no entitlement to receive Hail It Forward funds merely because a venue listing has been created or claimed.

Haila may require additional verification before enabling a venue to receive, redeem or withdraw Hail It Forward funds.

8.4 Holding and Delaying Payments

Haila may delay, suspend, withhold or prevent the release of Hail It Forward funds where reasonably necessary to:

  • verify the identity or authority of a venue operator;
  • investigate suspected fraud or unauthorised activity;
  • investigate a complaint or disputed transaction;
  • comply with payment-provider requirements;
  • protect customers, venues or Haila from loss; or
  • comply with applicable law.

No interest is payable on funds held while verification or investigation is undertaken.

8.5 Fraudulent or Unauthorised Venue Accounts

If Haila reasonably believes that a venue account has been created, claimed or operated fraudulently or without authority, Haila may immediately and without prior notice:

  • suspend or terminate the account;
  • disable Hail It Forward functionality;
  • freeze or withhold payments;
  • cancel or reverse transactions where permitted;
  • refund affected customers where appropriate;
  • remove the venue listing or return it to an unclaimed status;
  • require additional identification or evidence;
  • provide relevant information to payment providers, financial institutions, law enforcement or regulatory authorities where lawful; and
  • take any other reasonable action necessary to protect users, venues or Haila.

8.6 Responsibility for False Information

A person who knowingly or negligently provides false, misleading or unauthorised information when registering, claiming or operating a venue is responsible for losses reasonably resulting from that conduct, subject to applicable law.

This may include amounts improperly received, refunds, chargebacks, payment-provider charges, investigation costs and other reasonably incurred losses.

8.7 Recovery of Improperly Received Funds

Where a venue or person receives Hail It Forward funds to which they were not entitled, those amounts constitute a debt due to Haila or the person legally entitled to those funds, as applicable.

Haila may, where legally permitted, recover or set off those amounts against future payments otherwise payable through the platform.

8.8 Customer Protection

Where Haila determines that Hail It Forward value has been purchased for a venue that was fraudulently created, fraudulently claimed or operated without authority, Haila may cancel the affected Hail It Forward transaction and refund, credit or otherwise restore the customer's unused value where reasonably practicable and permitted by the applicable payment arrangements.

8.9 No Guarantee of Venue Identity

Haila takes reasonable measures to verify participating venues. However, unless expressly stated otherwise, Haila does not guarantee the identity, ownership, authority, legitimacy, financial position or conduct of any venue or user.

Users should report any venue listing or activity they believe is fraudulent, inaccurate or unauthorised.

Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under New Zealand law.

8.10 Cooperation With Investigations

Users and venue operators must reasonably cooperate with investigations concerning suspected fraud, unauthorised venue claims, disputed payments or misuse of Haila.

Haila may retain relevant account and transaction records and disclose information where required or permitted by law.

8.11 Suspension and Termination

Haila may suspend, restrict or terminate an account where it reasonably believes the account presents a fraud, payment, security, legal or reputational risk to Haila, its users or participating venues.

Where reasonably practicable and appropriate, Haila may give the affected user an opportunity to provide information or evidence before making a final determination.

9. Limitation of Liability

Haila is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the service.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the app after changes constitutes acceptance of the new terms.
